First Up! Hello and Welcome,

I’m Kim Serafini – founder and CEO of Positive Prime – and I am truly grateful for your exciting new involvement with Positive Prime and on behalf of myself and everyone involved in the Positive Prime Team, I want to Thank You for taking your valuable time to go forward with us in Our Positive Prime Journey.

So, here is where we are at;

1) Positive Prime has developed and produced an innovative and sophisticated positive psychology intervention technology of integrating empowering and positive thoughts and ideas into the human mind, if used as directed, creating positive habits that help the realization of professional and personal goals and other desired lifestyle related outcomes,

2) You, as a Positive Prime Professional, have produced positive statements and key concepts and messages which are able to be assimilated into a unique Positive Prime Professional Session which is created by Positive Prime; and,

3) Both Positive Prime and the Positive Prime Professional are desirous of publishing and delivering the Positive Prime Professional Session for viewing and purchasing via the Positive Prime website, and all other electronic portals,

And so let us agree as follows: 

Positive Prime Agrees

1) To create, publish and deliver the Positive Prime Professional Session based on the statements of the Positive Prime Professional for viewing and purchasing via the Positive Prime website, and all other electronic portals availed of from time to time as a Positive Prime Session within the Positive Prime Player. Any other form of reproduction or delivery of the Positive Prime Professional Session or its Statements by Positive Prime is not permitted by Positive Prime except with the agreement of the Positive Prime Professional.

2) To commit its resources to create the Positive Prime Professional Session and to source and purchase the rights to use up to 800 images, create templates, and format up to 200 statements within the Positive Prime Professional Session.

3) To provide editing support to ensure the statements follow the structure and protocols used by Positive Prime in all of the Expert Sessions.

4) To promote, market and otherwise post information about the Positive Prime Professional and/or the Positive Prime Professional Session that is agreed upon with approval by the Positive Prime Professional within the Positive Prime website, the Positive Prime Facebook pages and other relevant social media channels.

5) To promote – contemporaneously in conjunction with the Positive Prime Professional – the Positive Prime Professional Session as and when agreed with the Positive Prime Professional. Positive Prime connects with its community on average twice a week through email publishing news, information and product offers etc. Positive Prime also promotes via its Facebook and all other social media channels it sees fit.

6) To recognize that the statements provided by the Positive Prime Professional and used in the Positive Prime Professional Session are the property and content of the Positive Prime Professional and that the Positive Prime Professional has copyright over those statements and may use any or all of those statements as the Positive Prime Professional sees fit.

You, as a Positive Prime Professional Agrees

1) To provide 200 statements which will be edited by Positive Prime to follow the structure and format Positive Prime has established.

2) To grant Positive Prime a license to use the Statements in the creation and publication of the Positive Prime Professional Session

3) To grant Positive Prime the exclusive license to publish the Positive Prime Professional Session on Positive Prime’s website and in any language throughout the entire world.

4) To further grant Positive Prime the exclusive right and license to make this Positive Prime Professional Session available to viewers around the world.

5) To provide information or content related to thePositive Prime Professional Session as reasonably requested by Positive Prime within such time as is reasonably necessary to expedite completion and publication of the Positive Prime Professional Session.

6) To send an email to their entire database promoting the Positive Prime Professional Session with their referral code included.

7). To pay the annual fee(s)  for the creation and ongoing publication of your Positive Prime Session.

Further Positive Prime Rights & Agreements

Positive Prime retains all rights to publish the Positive Prime Professional Session and has the right to discontinue it from its Positive Prime store and library if the Positive Prime Professional fails to meet any terms of this agreement.

The Positive Prime Professional has the right to discontinue and terminate this agreement and have any or all of their Positive Prime Professional Sessions removed from the Positive Prime store and website without cause by providing written notice which Positive Prime will comply with within 30 days of receipt of such notice from the Positive Prime Professional.

Positive Prime has exclusive rights to produce and decide on appearance, advertising, and any promotion of the Positive Prime Professional Session.

Any downloaded versions of the Positive Prime Professional Session created for the Positive Prime Professional would remain available on the devices of people who downloaded it before the Expert Session was removed from the Positive Prime library.

The Positive Prime Professional Session created for the Positive Prime Professional by Positive Prime is owned and copyrighted by Positive Prime, whilst the Positive Prime Professional retains copyright over their Positive Prime Professional Session statements.

Further Positive Prime Professional Rights & Agreements

Once the Session has been created and published online, the Positive Prime Professional may offer of the Positive Prime Professional Session to people on their own email list at no charge.

The Positive Prime Professional cannot offer the Positive Prime Professional Session or make it available to other companies, individuals, or to another list of people at no charge or with a fee without written agreement by Positive Prime.

The Positive Prime Professional agrees to warrant that any content they provide to Positive Prime does not violate any copyrights, trademarks, privacy, or publicity rights of another person or entity and does not conflict with any understandings, agreements, or contracts the Positive Prime Professional has made with others.

The Positive Prime Professional agrees no defamatory, disparaging, obscene, or illegal content will be accepted by Positive Prime and the content Positive Prime Professional provides will not harm any viewer of the Expert Session.

The Positive Prime Professional agrees to fully indemnify Positive Prime, their other affiliates, and any person who shares and refers others to the Positive Prime Professional Session created for Positive Prime Professional if any legal proceeding or claim is made regarding that Positive Prime Professional Expert Session.

The Positive Prime Professional agrees to abide by the anti-SPAM laws established in the country they are a citizen of and to promote the Positive Prime Professional Expert Session only to people who have granted their permission to receive promotional emails from Positive Prime Professional.

Pricing

Positive Prime has the sole right to set the price of the individual Expert Session and all other pricing for programs and services Positive Prime makes available that includes this Expert Session.

Affiliate Pay Out

Positive Prime agrees to pay affiliate earnings to Positive Prime Professional for any individual sale of the Positive Prime paid memberships from Positive Prime’s website when purchased by anyone who uses their referral code.

We allow 7 days for refunds, and process 30 days from the end of the month.

You must have 1 paying, premium, monthly member attributed to your referral code in order to qualify. It’s a way of “paying in”
( We make this a must because we have many members who refer others and a few sign up as Premium Members – but we do not share commission given that there’s a lot for us to do on the “Admin” to manage accounts for our Private Preferred Partners. So, we’re working with fewer, more dedicated PositivePrime Influencers)

The average retention rate is 80% & this needs to be planned & accounted for in Year 2 expectations.

Year 2 Commissions are 90% of Year 1 Commissions & Year 3 Commissions are 80% of Year 1 Commissions
– – Sliding Scale: Therefore, for Tier 1, Yr 2 is 45% of total revenue, down 5%. Yr 3 is 40%, down 10 from Yr 1.

All payments will be paid in U.S. dollars and deposited into the PayPal account of Positive Prime Professional. Any affiliate commission less than USD$100.00 will be paid in a subsequent period in which the total affiliate commission due to Positive Prime Professional is more than USD$100.00.

Breach

Neither party shall have the right to terminate this Agreement because of a breach by the other until it gives notice to the other party of the breach, and the breaching party fails to cure the breach within thirty (30) days after the giving of the notice.

 The notices of the breach must be provided in writing and sent via overnight courier prepaid, to the parties at their addresses appearing within this agreement. Any change of address shall be provided by the Positive Prime Professional. These notices shall be deemed as given two days after the date of delivery is confirmed by the courier.

Positive Prime will not pay or account for royalties or commissions if Positive Prime Professional is in breach of this agreement.
